These Terms of Service ("Terms") govern your use of SafeSites360's services, including our training platform, demo environments, and related SaaS solutions (collectively, the "Services"). By accessing or using the Services, you ("Customer", "you") agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility
- You must be at least 18 years old and acting on behalf of a business or organisation to use our Services.
- By registering, you confirm that you have authority to bind your company or organisation to these Terms.
2. Accounts and Access
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must notify us immediately if you believe your account has been compromised.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Use of Services
You may use the Services only for lawful business purposes and in accordance with these Terms.
You may not:
- Copy, modify, or create derivative works based on the Services.
- Reverse engineer, decompile, or attempt to extract source code.
- Use the Services to upload unlawful, harmful, or infringing content.
- Interfere with or disrupt the security or performance of the Services.
4. Customer Data
- You retain ownership of all data and content you upload or generate while using the Services ("Customer Data").
- By using the Services, you grant us a limited licence to process Customer Data solely for the purpose of delivering and improving the Services.
- You are responsible for ensuring that Customer Data complies with applicable laws and does not infringe third-party rights.
5. Training and 3D Environment Data
- Our Services may include tracking of training completion, assessments, and interactions within 3D environments.
- You agree that we may collect, process, and store such data for reporting, compliance, and service improvement, in line with our Privacy Policy.
6. Intellectual Property
- All intellectual property rights in the Services, including software, content, and documentation, remain with SafeSites360 or its licensors.
- Except as expressly permitted, you may not use our trademarks, branding, or content without written permission.
7. Payment and Subscriptions
- Fees for the Services are set out in your order or subscription agreement.
- All payments must be made in accordance with the agreed billing terms.
- Late payments may result in suspension or termination of access.
- Fees are non-refundable unless otherwise required by law.
8. Scope of Services
- These Terms apply only to subscription-based Services provided via the SafeSites360 platform.
- Any customisation, development, or professional services will be subject to a separate written agreement.
9. Service Availability
- We will use reasonable efforts to ensure the availability and performance of the Services.
- We do not guarantee uninterrupted or error-free operation, and availability may be affected by factors outside our control, including reliance on third-party providers.
10. Termination
You may terminate your account at any time by providing written notice.
We may suspend or terminate access if you:
- Breach these Terms,
- Fail to pay fees when due, or
- Misuse the Services.
Upon termination, your access will end and we may delete your Customer Data after 90 days, in line with our Privacy Policy.
11. Limitation of Liability
- To the fullest extent permitted by law, SafeSites360's total liability for any claims arising out of or related to the Services shall not exceed the fees paid by you for the Services in the twelve (12) months preceding the claim.
- We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
12. Indemnification
You agree to indemnify and hold SafeSites360 harmless from claims, damages, or expenses arising out of:
- Your use of the Services,
- Your Customer Data, or
- Your breach of these Terms.
13. Changes to the Terms
We may update these Terms from time to time. Updates will be posted on our website with the "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
- These Terms are governed by and construed in accordance with the laws of England and Wales.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- If you access the Services from outside the UK, you are responsible for ensuring compliance with local laws.
